Terms of Use

These Terms of Use govern your use of the Lotzy desktop software, the lotzy.ai website and related services ("Lotzy"). By downloading, installing, creating an account for or using Lotzy you confirm that you have read, understood and accepted these Terms. If you do not accept them, do not download or use Lotzy. If the Turkish and English texts differ, the Turkish text prevails.

1. Parties and acceptance

1.1. These Terms are between the party that develops and operates Lotzy ("Lotzy", "we") and the person or entity using Lotzy ("you").

1.2. The Terms take effect when you tick the box on the download page, click "I Agree" in the installer, or tick the box when signing in on the website or in the app. The date of your acceptance and the version you accepted are recorded with your account.

1.3. You must be at least 18 and legally able to enter into contracts. If you use Lotzy for a company, you confirm you may bind that company.

2. The service

2.1. Lotzy is interface software that runs on your computer and sends requests to third-party AI services (e.g. Higgsfield, OpenAI, Anthropic) using YOUR OWN API keys. Lotzy is not the provider, seller or agent of these services.

2.2. Lotzy is an independent product. It is not an official product of, or affiliated with, Higgsfield, OpenAI, Anthropic or other model providers. Model and brand names belong to their owners.

2.3. Results are produced by third-party services. Lotzy has no control over their quality, accuracy, timing, availability or content.

3. Alpha software: use "as is"

3.1. Lotzy is currently an alpha (early access). It is unfinished and offered for testing. You understand and accept that in particular:

• the program may crash, freeze, close unexpectedly or behave incorrectly;
• generations may never arrive, stop halfway, arrive late, use wrong settings or differ from what you expected;
• scenes, layouts, files or settings may be lost or corrupted;
• cost estimates may differ from the actual charge;
• features may change or be removed, or the service may stop entirely, without notice.

3.2. You are responsible for backing up your important files regularly. Do not rely on Lotzy as the only tool for critical, irreversible or time-sensitive work.

4. Third-party fees and cost estimates

4.1. Lotzy itself is free during the alpha. Every generation you make through Lotzy is charged DIRECTLY TO YOUR ACCOUNT by the third-party service whose API key you use. These charges are between you and that provider.

4.2. Third-party services may charge for generations that fail, are cancelled, are incomplete, are sent with wrong settings, are retried, produce faulty results or never arrive. LOTZY DOES NOT REFUND OR COVER ANY OF THESE CHARGES AND CANNOT BE HELD LIABLE FOR THEM. Refund requests can only be made to the relevant provider.

4.3. Costs and estimates shown in the app are for information only and may differ from the actual charge because of provider prices, exchange rates, promotions or errors; they are not binding. The provider's own records determine the amount charged.

4.4. Setting spending limits on your API accounts and tracking your spending is your responsibility.

4.5. If paid plans are offered later, their price and terms will be shown before purchase.

5. API keys and account security

5.1. Your API keys are stored encrypted on your computer using the operating system's secure storage and are not sent to Lotzy's servers. You are responsible for keeping your keys secret, for the security of your computer and for all activity using your keys.

5.2. You may not share your Lotzy account. Tell us immediately if you notice unauthorized use.

6. Your content and acceptable use

6.1. You alone are responsible for the lawfulness and use of the text you enter, the reference images you upload and the outputs you obtain ("Content"). Lotzy does not review content in advance.

6.2. You may not use Lotzy to:

• create images, audio or video that impersonate a person without consent or that are misleading, degrading or sexual ("deepfakes");
• create any content that sexualizes or exploits children;
• infringe copyright, trademark, personality or privacy rights;
• engage in hate speech, incitement to violence, harassment, fraud, disinformation or any other unlawful purpose;
• violate the usage policies of the third-party services you use;
• reverse engineer Lotzy, circumvent license or access controls, or copy, distribute or sell the software.

6.3. Rights in outputs are governed by the terms of the relevant third-party service. Lotzy claims no rights in outputs and does not guarantee that outputs are original, non-infringing or fit for commercial use.

6.4. You agree to indemnify and hold Lotzy harmless from all claims, lawsuits, fines and costs (including reasonable attorney fees) arising from use that breaches this section.

7. Software license and intellectual property

7.1. Provided you comply with these Terms, you receive a non-exclusive, non-transferable, non-sublicensable, revocable license to use Lotzy for personal use or your own business.

7.2. All rights in the Lotzy software, design, logo, brand, website and content belong to Lotzy. These Terms grant you no rights other than the license to use.

7.3. We may use feedback you send to improve Lotzy without any obligation or payment to you.

8. Access, suspension and termination

8.1. Alpha access is granted by application and approval. Whether to accept an application, and the duration and scope of access, are at Lotzy's discretion.

8.2. Lotzy may suspend, limit or end your access, or stop the service entirely, at any time, without notice and without giving a reason. No compensation or refund is owed in that case.

8.3. You may stop using Lotzy at any time, uninstall it and ask for your account to be deleted.

9. Disclaimer of warranties

To the maximum extent permitted by law, Lotzy is provided "AS IS" and "AS AVAILABLE". Lotzy gives no express or implied warranty that the software will be uninterrupted, error-free, secure or virus-free, fit for a particular purpose, or that results will be of any quality, accurate or delivered on time, or that third-party services will be available.

10. Limitation of liability

10.1. To the maximum extent permitted by law, Lotzy is not liable for loss of profit, revenue, business, reputation, data or files, third-party service charges, failed or faulty generations, missed deadlines, or similar indirect, incidental, special or consequential damages.

10.2. In any case, Lotzy's total liability arising from these Terms or the use of Lotzy is limited to the fees you paid directly to Lotzy in the 12 months before the damage occurred. As the alpha is free, this amount is zero unless you used a paid plan.

10.3. These limits do not affect liability that cannot be limited in advance by law (e.g. for intent or gross negligence) or non-waivable rights under consumer law.

11. Personal data

Your personal data is processed in accordance with the Privacy Policy and KVKK Notice at lotzy.ai/privacy.

12. Changes

We may update these Terms from time to time. For important changes we will announce the new version in the app or on the website and ask for your acceptance again where needed. Continuing to use Lotzy after a change means you accept the current Terms.

13. Governing law and disputes

13.1. These Terms are governed by the laws of the Republic of Türkiye.

13.2. The courts and enforcement offices of Istanbul (Central) have jurisdiction. Consumers keep their right to apply to Consumer Arbitration Committees and Consumer Courts under Law No. 6502.

14. Other

14.1. If any provision of these Terms is held invalid, the remaining provisions stay in effect.

14.2. Lotzy not exercising a right does not mean it waives that right.

14.3. These Terms are the entire agreement between you and Lotzy on this subject. Lotzy's records (acceptance records, server and application logs) constitute an evidence agreement under Article 193 of the Code of Civil Procedure No. 6100 in any dispute.
